1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Codeloon Solutions ("Company," "we," "us," or "our"), concerning your access to and use of our website and services.
By accessing our website or engaging our services, you agree that you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using our services and you must discontinue use immediately.
2. Services Description
Codeloon Solutions provides web development, mobile application development, AI automation, and related software development services ("Services") to businesses and organizations primarily in Atlantic Canada and North America.
Our Services include but are not limited to:
- Custom website design and development
- Mobile application development
- AI automation and integration services
- Software consulting and strategy
- Website maintenance and support
- Search engine optimization (SEO)
- Digital marketing services
3. Project Agreements
Specific project terms, deliverables, timelines, and pricing will be outlined in separate project agreements or statements of work. These project-specific agreements supplement but do not replace these Terms of Service.
All projects require a signed agreement and deposit before work commences. Project scope changes may result in additional costs and timeline adjustments.
4. Payment Terms
Payment terms will be specified in individual project agreements. Generally:
- A deposit is required before project commencement
- Progress payments may be required for larger projects
- Final payment is due upon project completion
- Late payments may incur additional fees
- All prices are in Canadian dollars unless otherwise specified
5. Intellectual Property Rights
Upon full payment for services, clients receive ownership of the final deliverables created specifically for their project. However:
- Codeloon Solutions retains rights to general methodologies, techniques, and know-how
- Third-party components, libraries, and frameworks remain subject to their respective licenses
- We reserve the right to use project work as portfolio examples unless otherwise agreed
- Source code and development files are provided upon full payment completion
6. Client Responsibilities
Clients are responsible for:
- Providing accurate and complete project requirements
- Supplying necessary content, images, and materials in a timely manner
- Providing timely feedback and approvals
- Ensuring they have rights to all materials provided to us
- Maintaining backups of their data and content
- Complying with all applicable laws and regulations
7. Warranties and Disclaimers
We warrant that our services will be performed in a professional manner consistent with industry standards. However:
- We do not guarantee specific results or outcomes
- We are not responsible for third-party service failures
- Website performance may vary based on hosting and external factors
- SEO results depend on many factors beyond our control
EXCEPT AS EXPRESSLY SET OUT IN THESE TERMS, ALL EXPRESS OR IMPLIED CONDITIONS, REPRESENTATIONS AND WARRANTIES ARE EXCLUDED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CODELOON SOLUTIONS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF OUR SERVICES.
Our total liability for any claim arising out of or relating to these Terms or our services shall not exceed the total amount paid by the client for the specific services giving rise to the claim.
9. Termination
Either party may terminate a project agreement with written notice. Upon termination:
- Client remains responsible for payment of work completed
- We will deliver work completed to the date of termination
- Confidentiality obligations continue after termination
- Refunds, if any, will be determined based on work completed
10. Confidentiality
We respect the confidentiality of client information and will not disclose confidential information to third parties without consent, except as required by law or as necessary to perform our services.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of New Brunswick, Canada, without regard to conflict of law principles.
12. Changes to Terms
We reserve the right to modify these Terms at any time. Updated Terms will be posted on our website with a new "Last Updated" date. Continued use of our services after changes constitutes acceptance of the new Terms.
